Terms & Conditions (End User License Agreement) — Centers Laboratory App

These Terms & Conditions (“Terms”) govern your access to and use of the Centers Laboratory mobile
application (the “App”) provided by Centers Laboratory (“Centers Lab,” “we,” “us,” or “our”). By installing, accessing,
or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use
the App.

 

1. Eligibility and Authorized Use

The App is provided exclusively for authorized Centers Lab employees, phlebotomists, couriers, and
partners (“you” or “User”) in connection with their work for Centers Lab. You may use the App only if you
have a valid Centers Lab account and are authorized to do so, and only if you are an adult. The App is
not intended for the general public or for patients, and there is no public sign-up.

 

2. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable,
revocable license to install and use the App on a device you own or control, solely for your authorized
work purposes. This license terminates automatically when your authorization or employment/engagement with Centers Lab
ends.

 

3. Accounts and Credentials

You access the App using either (a) your work email and a one-time passcode (OTP) sent to that email,
or (b) your organization’s Microsoft single sign-on credentials, where enabled. You are responsible
for:

  • Keeping your credentials, OTPs, and device secure;
  • All activity that occurs under your account;
  • Notifying Centers Lab immediately of any unauthorized access or lost/stolen device.

For security, you may be signed in on only one device at a time; signing in elsewhere may end your existing session. We
may suspend or revoke your access at any time.

 

4. Acceptable Use

You agree not to:

  • Use the App for any purpose other than your authorized Centers Lab duties;
  • Access, use, or disclose patient information or other confidential data except as permitted by your role, your
    training, and Centers Lab policies;
  • Copy, modify, reverse engineer, decompile, disassemble, or attempt to extract source code from the App, except
    where expressly permitted by law;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the App, our systems, connected devices, or
    networks;
  • Disable, circumvent, or interfere with location tracking, security, or logging features while on an active
    shift; or
  • Use the App in any way that violates applicable laws or regulations.

 

5. Protected Health Information and Confidentiality

The App gives you access to Protected Health Information (PHI) and other confidential information.
You agree to access and handle such information only as necessary for your authorized duties and in accordance with
HIPAA, other applicable laws, and Centers Lab’s privacy, security, and confidentiality policies. You
must not capture, store, transmit, or share PHI outside the App or authorized Centers Lab systems,
including in personal photo libraries, messaging apps, or cloud accounts.

 

6. Location Tracking

You acknowledge and consent that, while you have an active, self-initiated shift, the App collects and transmits your
precise location, including in the background, for routing, operational coordination, facility
check-in, and chain-of-custody purposes, as described in the Privacy Policy. Tracking starts when you begin a shift and
stops when you end the shift or log out. Starting and using a shift constitutes your consent to this tracking.

 

7. Device, Connectivity, and Equipment

You are responsible for providing a compatible device, network connectivity, and (where applicable) a compatible
Bluetooth label/receipt printer. Printing, mapping/navigation, live location, and notifications require working
hardware, connectivity, and granted permissions. We are not responsible for failures caused by your
device, network, or third-party equipment.

 

8. Intellectual Property

The App, including all software, content, trademarks, and related materials, is owned by Centers Lab and/or its
licensors and is protected by intellectual property laws. These Terms grant you no ownership rights.

 

9. Third-Party Services

The App relies on third-party services, including Microsoft (authentication), Expo,
Apple (APNs), and Google (Firebase Cloud Messaging) for push notifications, and
Google Maps Platform / Apple Maps for mapping and navigation. Your use of those
services may also be subject to their respective terms. We are not responsible for third-party services, and their
availability is not guaranteed.

 

10. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED,
INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND
NON-INFRINGEMENT. We do not warrant that the App will be uninterrupted, error-free, or secure, or that
location, distance, navigation, or printing outputs will be accurate or complete.

 

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTERS LAB AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR
RELATED TO YOUR USE OF (OR INABILITY TO USE) THE APP, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

12. Termination and Account Deletion

We may suspend or terminate your access to the App at any time, with or without notice, including when your
authorization ends or for any violation of these Terms. Upon termination, you must stop using the App and remove it
from your device. You may request account and data deletion as described in the Privacy Policy (Section 9); certain
records may be retained as required by law or healthcare record-retention obligations.

 

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of New Jersey, without regard to its conflict-of-laws rules. The
exclusive venue for any dispute will be the courts located in Morris County, unless otherwise required
by applicable law.

14. Changes to These Terms

We may update these Terms from time to time. We will update the “Last updated” date, and continued use of the App
after changes take effect constitutes acceptance of the updated Terms.

 

15. Apple- and Google-Specific Terms

To the extent the App is downloaded from the Apple App Store or Google Play, you
also agree to the applicable store terms. Apple and Google are not parties to these Terms and are not responsible for
the App, its content, or any claims relating to it (including product-liability, legal/regulatory, or
intellectual-property claims). The license in Section 2 is limited to use on Apple-branded or Android devices you
control. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You
represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S.
Government restricted-parties list.
